We are partnering with an ASX-listed mining company who is entering a pivotal stage of development. Backed by substantial investment and long-term strategic partnerships, the business is progressing a project of significant national and international importance and is now seeking a General Counsel & Company Secretary.
As General Counsel & Company Secretary, you will lead the company's legal and governance functions, supporting the business through project financing, construction and into operations. You will provide strategic legal advice to the Board, CEO, CFO and executive leadership team, while maintaining responsibility for the company's legal, governance and compliance framework.
This is a hands-on role, requiring you to take ownership of the legal and company secretarial function, from reviewing and negotiating key commercial agreements through to managing Board and committee processes, continuous disclosure obligations and ASX compliance.
Your responsibilities will include:
Advising on the legal aspects of project finance, offtake, supply and the EPCM delivery model, alongside the CFO, treasury and projects commercial.
Leading the company's corporate governance framework, including Board and committee administration, statutory compliance and ASIC obligations.
Managing continuous disclosure obligations and acting as the key adviser on ASX Listing Rule compliance.
Advising on legal, regulatory and commercial risk.
We would like to speak with experienced General Counsel & Company Secretary or Senior Legal Counsel with company secretarial experience looking to step into your first GC/Co Sec role. You will have 12+ years' PAE and a proven track record within an ASX-listed organisation within the resources, mining, or energy sectors.
You will be comfortable operating in a hands-on environment and working closely with a high-performing executive team.
