General Counsel

An established, privately held investment group (family office) is seeking an experienced General Counsel to serve as its principal legal adviser and strategic counsel.

The group holds a diversified portfolio of operating businesses and long term investments spanning property ownership & development, infrastructure, construction, aviation, aquaculture, resources, private equity, and other asset classes.

Working directly with the Principal, CFO and other executives, this is a unique opportunity to work with a highly commercial private group.

KEY RESPONSIBILITIES

• Acting as the principal legal adviser to the group, its executives, boards and associated entities.

• Serving as an adviser to ownership and senior leadership on legal, governance, strategic matters.

• Advising on domestic and cross border corporate structures, governance frameworks, and asset protection.

• Providing strategic advice on acquisitions, divestments, joint ventures, financing arrangements and restructures.

• Leading transaction execution, due diligence and post completion integration.

• Negotiating and drafting commercial contracts across the groups portfolio.

• Advising on taxation and structuring matters alongside specialist advisers.

• Managing regulatory, licensing, planning and compliance matters across multiple jurisdictions.

• Advising on property acquisitions, developments, leasing and construction projects.

• Managing disputes, governance issues and regulatory matters.

• Supporting the board and investment committee and overseeing governance frameworks.

• Serving as Company Secretary for group entities.

• Managing legal risk, insurance arrangements and broader enterprise risk matters.

• Advising on employment and remuneration matters.

• Managing external legal counsel, tax advisers and specialist consultants.

EXPERIENCE REQUIRED

• 10+ years’ post admission experience.

• Broad commercial, corporate and regulatory experience.

• Strong taxation and structuring capability.

• Experience across multiple jurisdictions, ideally Australia and New Zealand.

• Exposure to private groups, family offices or diversified enterprises.

• Strong commercial judgment and pragmatic decision-making.

• Ability to operate as a sole senior legal adviser.

• Outstanding communication, negotiation and stakeholder management skills.

• High levels of integrity, discretion and professional judgment.
